Terms & Conditions

These Terms and Conditions govern the relationship between Shop Sphere Ltd, a business consulting firm registered in England and Wales, and any individual or organisation who engages our services or accesses shopsphere.co.uk.

By engaging Shop Sphere Ltd for services, signing a Statement of Work or Service Agreement, or accessing the website, you acknowledge agreement to these Terms. The company reserves the right to amend these Terms by publishing revised versions on the website.


Services

Shop Sphere Ltd provides professional business consulting services including:

  • Business planning and strategy development
  • Process optimisation and workflow design
  • Growth strategy and market positioning
  • Business goal setting and accountability
  • Advisory and mentoring
  • Software and technology consulting (via Waldo Helpdesk)

Specific scope, deliverables, timeline, and pricing are defined in separate Statements of Work or Service Agreements. We commit to using reasonable skill and care but do not warrant error-free or uninterrupted services.


Client Obligations

To enable effective service delivery, clients agree to:

  • Provide accurate, complete, and timely information, access, and resources as reasonably required
  • Designate an authorised representative with decision-making authority
  • Provide timely feedback and sign-off within agreed timeframes
  • Ensure provided information and materials do not infringe third-party intellectual property
  • Use deliverables only for lawful purposes in accordance with UK law

Intellectual Property

Pre-existing IP: Each party retains ownership of pre-engagement intellectual property. Shop Sphere Ltd retains ownership of all pre-existing tools, frameworks, methodologies, and proprietary know-how.

Deliverable IP: Unless otherwise agreed in writing, upon full payment, Shop Sphere Ltd assigns ownership of project-specific deliverables to the client.

Portfolio rights: Shop Sphere Ltd reserves the right to reference engagements and include anonymised descriptions in portfolio and marketing materials, unless expressly requested otherwise in writing.


Confidentiality

Each party agrees to hold non-public information disclosed by the other party in strict confidence, including business plans, financial data, technical specifications, and client information. These obligations survive engagement termination for three (3) years.


Payment & Fees

All fees and payment schedules are specified in applicable Statements of Work or Service Agreements. Unless otherwise agreed:

  • All prices are in British Pounds (GBP) and exclude VAT unless stated otherwise
  • Invoices are due within fourteen (14) days of invoice date
  • Shop Sphere Ltd reserves the right to charge statutory interest on overdue amounts under the Late Payment of Commercial Debts (Interest) Act 1998
  • Work may be suspended for non-payment without liability for resulting delays

Limitation of Liability

To the maximum extent permitted by UK law:

  • Total aggregate liability shall not exceed total fees paid under the relevant Statement of Work in the twelve (12) months preceding the claim
  • Shop Sphere Ltd is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption
  • Nothing excludes or restricts any rights under the Consumer Rights Act 2015 that cannot lawfully be excluded

Termination

Either party may terminate by providing written notice as specified in the applicable Statement of Work. Absent specified notice, fourteen (14) days written notice is required. Shop Sphere Ltd may terminate immediately if the client fails to pay invoices within 30 days, materially breaches these Terms and fails to remedy within 14 days, or becomes insolvent.


Governing Law

These Terms are governed by the laws of England and Wales. Each party submits to the exclusive jurisdiction of the courts of England and Wales for disputes. Before commencing legal proceedings, parties agree to attempt resolution through good-faith negotiation.
